Property Management Agreement
Terra Aeternum — Property Care Subscription. This is the agreement you accept during online onboarding.
The binding version of this agreement is the English text below, governed by the laws of the Republic of Cyprus.
Parties
This Agreement is made between (1) Terra Aeternum LTD, registration no. ΗΕ 493247, of Ermou 32, 6023 Larnaca, Cyprus, email info@terraaeternum.com (“we”, “us”, “Terra Aeternum”); and (2) the Owner named in the Schedule (“you”, “the Owner”).
1. Services
We will provide the property-care subscription services for each property listed in the Schedule (“the Property/Properties”): a dedicated English-speaking point of contact; regular property check-ins with photo reports; key holding and supervised access; emergency response; collection and flagging of mail/notices; coordination and supervision of maintenance works; and a single periodic statement.
The specific inclusions and their frequency are those published at terraaeternum.com for your selected plan at the date of signature.
2. Maintenance & repair works (reseller basis)
Where works are required (e.g. plumbing, electrical, locksmith, painting, installations, cleaning), we act as principal: we engage and pay the tradesperson and supply you with a completed job at a single agreed price.
We will provide a fixed-price quotation before any non-emergency works. Works proceed only on your approval.
Advance payment: for any job quoted above €100, the approved amount is payable before we instruct the works. Recurring/small jobs (e.g. cleaning) are billed in arrears with your subscription.
Emergency authority: to protect the Property, you authorise us to instruct works up to the Emergency Limit stated in the Schedule without prior approval where, in our reasonable judgment, delay risks damage, safety, or further loss. We will inform you as soon as practicable.
3. Fees & payment
Subscription fee: as stated in the Schedule, per Property, including 19% VAT. Payable annually in advance (with the published discount) or monthly.
Setup fee: a one-time fee as stated in the Schedule (waived where you select annual prepayment).
Works: charged at the agreed fixed price per job (inclusive of our coordination and VAT).
Payments are made via the payment method/link we provide. Monthly automatic collection (where offered) applies only after onboarding is complete and a payment method is registered.
Late or failed payment may result in suspension of services after notice.
4. Key holding & access
You will provide keys/access by your chosen method (in-person handover, registered courier, transfer from a building manager or current keyholder, or installation of a key safe).
Keys are stored securely, labelled by code (never by address), and access is granted only to approved tradespeople or deliveries. We log every entry (who, when, purpose).
On termination, keys are returned by your chosen method within 10 days.
5. Your obligations
You confirm you are the owner (or authorised agent) of each Property; that it is lawfully held and insured by you; that you will keep your contact and payment details current; and that you will pay approved works and fees when due.
6. Liability & insurance
We will perform the Services with reasonable skill and care and engage tradespeople we reasonably believe to be competent and insured.
We are not liable for: pre-existing defects; the acts/omissions of third-party tradespeople beyond our reasonable supervision; loss or damage you could have insured against; or indirect or consequential loss.
Our total liability in any 12-month period is capped at the total subscription fees you paid in that period, save where liability cannot lawfully be limited.
You are responsible for maintaining your own buildings/contents insurance. We maintain our own liability cover.
7. Data protection
We process your personal data and documents (including ID and proof of ownership) only to deliver the Services, store them securely, and handle them in line with applicable data-protection law (GDPR) and our privacy notice.
8. Term & termination
This Agreement runs for the period paid for and renews for like periods unless cancelled.
Either party may terminate at the end of the current paid period on 30 days’ written notice. Pre-paid subscription fees are non-refundable except where required by law.
Approved works already instructed remain payable.
Either party may terminate immediately for material breach not remedied within 14 days of notice.
9. General
This Agreement (with the Schedule and the published plan inclusions) is the entire agreement between us.
It is governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction.
Electronic acceptance: this Agreement may be accepted online (by ticking the acceptance box and submitting your details during onboarding). Such acceptance, with the recorded date, time and name, constitutes a valid signature and binds both parties.
Schedule
Owner details, property/properties, selected plan & price, billing choice, setup fee, emergency limit, key handover method and start date are captured and recorded during online onboarding and form part of this Agreement.
